1. Agreement
These Terms of Service govern your access to Shimpz websites, accounts, Teams, Assistants, and related platform features. By creating an account or using the platform, you agree to these Terms and the Privacy Policy. If you use Shimpz for an organization, you represent that you have authority to accept these Terms for that organization.
2. Eligibility and accounts
You must be legally able to enter this agreement and meet the minimum age required where you live. You must provide accurate account information, protect your credentials and sessions, and promptly report suspected unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise.
3. The platform
Shimpz lets you organize Teams, select Assistants, connect external providers, and request work through declared capabilities. Features may be experimental, unavailable in some environments, or changed as the platform develops. A description or preview is not a promise that a feature will be released.
4. Connected accounts
You may connect a third-party account through OAuth or another reviewed authorization method. You may connect only accounts and resources you are authorized to use. You authorize Shimpz to request the displayed scopes and to perform operations you explicitly request or approve within those scopes.
You remain responsible for provider charges, quotas, content, and compliance. Disconnecting in Shimpz stops new platform use of the connection, but you should also revoke authorization at the provider if you need immediate provider-side revocation.
5. Assistants and AI
Assistants and AI models can produce incomplete, inaccurate, or unexpected results. Review outputs and approvals before relying on them, particularly for legal, financial, medical, security, infrastructure, or other consequential decisions. Shimpz does not provide professional advice through generated output.
You must not instruct an Assistant to exceed granted authority, evade an approval, access another Team, expose a credential, or violate a provider's rules. You are responsible for deciding whether a requested operation and its result are appropriate for your use.
6. Your content
You retain your rights in content you submit. You grant Shimpz a limited, non-exclusive license to host, process, transmit, reproduce, and display that content only as needed to operate, secure, and support the platform and complete your requests. You represent that you have the rights required to provide the content and authorize this processing.
7. Acceptable use
You may not use Shimpz to:
- break the law, violate another person's rights, or facilitate fraud or abuse;
- access accounts, Teams, systems, data, or credentials without authorization;
- introduce malware, disrupt the platform, bypass limits, or probe security without written permission;
- misrepresent an automated action as human or conceal legally required disclosures;
- send spam, harassment, deceptive content, or prohibited automated communications; or
- use generated output or provider access in a way prohibited by applicable third-party terms.
8. Third-party services
Providers, models, repositories, and other third-party services are governed by their own terms, privacy policies, availability, and pricing. Shimpz does not control those services and is not responsible for their independent acts, outages, changes, or content. Your use of a connected provider must comply with both these Terms and the provider's terms.
9. Shimpz rights
Shimpz and its licensors retain all rights in the platform, branding, documentation, and software except for rights expressly granted under an applicable open-source license. These Terms do not grant a right to use Shimpz names, logos, or marks in a way that suggests sponsorship or endorsement.
10. Suspension and termination
You may stop using Shimpz and request account deletion. We may limit or suspend access when reasonably necessary to protect users or the platform, address a legal obligation, investigate abuse, or enforce these Terms. We may terminate access for a material or repeated violation. Where appropriate, we will provide notice and an opportunity to correct the issue.
11. Disclaimers
To the maximum extent permitted by law, Shimpz is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that the platform will be uninterrupted, error-free, or meet every requirement. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
12. Limitation of liability
To the maximum extent permitted by law, Shimpz will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities arising from the platform. Shimpz's aggregate liability for a claim will not exceed the greater of the amount you paid for the platform during the 12 months before the event giving rise to the claim or USD 100. These limits do not apply where prohibited by law.
13. Changes to these Terms
We may update these Terms as the platform or applicable requirements change. The effective date above identifies the current version. Material changes will be presented through an appropriate platform or website notice. Continued use after the updated Terms take effect constitutes acceptance where permitted by law.
14. General
Applicable law governs these Terms without overriding consumer protections that apply where you live. If one provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without consent; Shimpz may transfer them as part of a reorganization, financing, merger, acquisition, or sale of the relevant business.
